Version 2.1 · [publication date]

1. Who we are

Who Pays is a trade name of Hugo Zanelli, sole trader, Sarphatistraat 14, 1017 WS Amsterdam, the Netherlands. Chamber of Commerce (KvK) number [KvK number], VAT identification number (btw-id) [NL…B01], email [contact email], phone [phone number].

2. What these terms cover

These terms apply to the Briefing, the Programme, the Private Session, In-house sessions, partner blocks and the Verdict offered under the name Who Pays, and to every application, booking and invoice. Different terms apply only when we agree them in writing.

The Briefing and the Programme are open to business customers and to private individuals. The Private Session, In-house sessions, partner blocks and the Verdict are offered to business customers only.

3. Applying and booking

Sending the application form does not create a booking. A booking exists once we confirm your seat or date in writing and send an invoice. We may decline an application, for example to avoid two direct competitors at the same table. For the Private Session, In-house and the Verdict, date, scope and price are set in a short engagement letter.

4. Prices and payment

  • Prices are in euros. Prices for business customers exclude 21% Dutch VAT. Prices for private individuals include VAT.
  • The Briefing costs €495 per seat excl. VAT (€598.95 incl. VAT for private individuals). The Programme costs €1,250 per seat excl. VAT (€1,512.50 incl. VAT).
  • For business customers only: the Private Session costs €1,500 excl. VAT for one person, or €2,900 excl. VAT for one team of up to four people.
  • In-house sessions cost €2,200 excl. VAT for half a day (three hours) and from €3,500 excl. VAT for a full day. The Verdict, available on request, costs from €7,500 excl. VAT. The final price is fixed in the engagement letter before work starts.
  • A partner block of four Briefing seats costs €1,600 excl. VAT (business customers only).
  • Invoices are payable within 14 days, and in any case before the session. When you apply, you tell us who pays: your company (price excl. VAT, article 6 applies) or you yourself (price incl. VAT, articles 7 and 7a apply).
  • The Briefing and the Programme include coffee, the printed maps and a plain-words glossary. The Programme also includes the Access Canvas, a preparation call and answers to your questions by email for three months after the last morning.
  • If you book the Programme within three months of attending a Briefing, the Briefing fee you paid is deducted from the Programme price.

5. In-house sessions and travel

In-house sessions take place at a location you provide, in the Netherlands or Belgium, or elsewhere by agreement. You provide a suitable room. Travel within the Netherlands and Belgium is included in the price. Travel to Luxembourg and beyond (and, where needed, accommodation) is quoted in advance and set out in the engagement letter. Travel costs already incurred for a session outside the Netherlands and Belgium are not refunded when it is cancelled or moved.

6. Cancellation by business customers

  • Briefing. More than 14 days before: full refund. Later: no refund. You may move once to another Briefing, free of charge, up to 48 hours before.
  • Programme. More than 28 days before the first morning: full refund. Between 28 and 14 days before: 50% refund. Fewer than 14 days before, or after the Programme has started: no refund. Up to 14 days before the first morning, you may move once to the next cohort, free of charge.
  • Private Session. You may move the date once, free of charge, up to 7 days before. If you cancel more than 14 days before, there is no charge. Later, we charge 50% of the fee.
  • In-house. You may move the date once, free of charge, up to 14 days before. Cancellation more than 30 days before is free. Between 30 and 14 days before, we charge 50% of the fee. Fewer than 14 days before, we charge the full fee. Travel costs already incurred outside the Netherlands and Belgium are charged in every case.
  • Verdict. Cancelling before work starts is free. If you stop a Verdict after work has started, we charge 50% of the fee before the draft (day 8), and 100% after it.
  • For the Briefing and the Programme, you may send a colleague in your place at any time, free of charge.
  • Partner block. Seats in a partner block are transferable within your organisation or portfolio and valid for twelve months from the invoice date. Unused seats are not refunded.

7. Private individuals: right of withdrawal

If you book the Briefing or the Programme as a private individual, you may withdraw within 14 days after the day we confirm your booking without giving a reason and receive a full refund. Tell us by email or with the EU model withdrawal form, which we send with every booking confirmation. If your session falls within those 14 days, we can hold your seat only if you expressly ask for it to take place within the withdrawal period, by ticking a separate box when you apply or book; we confirm that request in the booking email. If you withdraw after such a request but before the session, you pay nothing. If the session has fully taken place at your express request, and you confirmed that you would then lose this right, withdrawal is no longer possible. After the withdrawal period, article 7a applies.

7a. Cancellation by private individuals

  • More than 14 days before the session (for the Programme, the first morning): full refund.
  • 14 days or fewer before: 50% refund, or a full refund if we fill your seat.
  • You may send someone in your place, or move once to a later date, free of charge, up to 48 hours before.

8. Changes and cancellation by us

We may move a session to another date or room if needed and will tell you as early as possible. A Briefing or Programme goes ahead with at least three paid participants. We decide seven days before the session (for the Programme, the first morning). If we cancel, for that reason or for reasons beyond our control, you get a full refund, or a later date if you prefer. We are not liable for other costs, such as your own travel.

9. Missed sessions

If you miss a Programme morning, you receive that morning's map and a short catch-up call. Missed sessions are not refunded.

10. Confidentiality

Sessions run under the Chatham House rule: you may use what you hear, but not say who said it or which company it concerns. Product details you share are covered by a short mutual confidentiality agreement, signed before the session. We treat everything you share about your product as confidential, except where the law requires disclosure.

11. Nature of the service

Who Pays is education. It is not regulatory, legal, medical, tax or financial advice, and it does not guarantee any reimbursement decision. The Private Session and the Verdict give a professional opinion based on published information and your data, not a guarantee of outcome. A Verdict reflects the situation on the date of the report and is not updated afterwards. Decisions remain yours. We rely on the accuracy of the data you provide.

12. Liability

For business customers, our total liability is limited to the fee paid for the service concerned and excludes indirect loss, such as lost profit or missed funding. This limit does not apply to intent or gross negligence. For private individuals, the law applies.

13. Intellectual property

The printed maps, glossary, Access Canvas, Verdict report and other materials remain our property. You may use them yourself and inside your own organisation. You may not resell, publish or use them to teach others without written permission. You may share a Verdict with your board, investors and advisers in confidence, and, for partner due diligence, with the company assessed. Information and data you give us remain yours.

14. Complaints

Send complaints by email to [contact email] or call [phone number]. We reply within 14 days.

15. Law and courts

Dutch law applies. Disputes go to the competent court in Amsterdam, unless mandatory consumer law gives you the right to another court.
